Member Conduct

You agree to defend, indemnify, and hold I-Learn , and its subsidiaries, affiliates, officers, employees, agents, co-branders, or other partners, harmless from any action, claim, proceeding, demand, cost or expense, including reasonable attorneys' fees, from a third party due to or arising out of content you submit, your use of the services, your violation of the TERMS, or your violation of any rights of another party.

No Resale of Services
You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Services or Products.

InfoPro Learn reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. Termination
You agree that InfoPro Learn shall not be liable to you or any third-party for any termination of your access to the Services. Upon termination of the Service, your right to use the Service and Software shall cease immediately.

Your Registration Obligations In consideration of your use of certain services offered on the site that may require registration, you agree to:

General Provisions
The MTS shall be governed by and construed in accordance with the laws of the state of New Jersey, excluding its conflict of law provisions. Member and InfoPro Learn agree to submit to the exclusive jurisdiction of the courts of the state of New Jersey. If any provision(s) of the MTS is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. I-Learn 's failure to exercise or enforce any right or provision of the MTS shall not constitute a waiver of such right or provision unless acknowledged and agreed to by InfoPro Learn in writing. Member and InfoPro Learn agree that any lawsuit arising out of or related to this Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. The section titles in the MTS are solely used for the convenience of the parties and have no legal or contractual significance.
